JUDGMENT
[1]This was an action for oppression pursuant to Section 346Companies Act 2016(“CA 2016”) (“this Originating Summons”) by the Plaintiff against the Defendants.
A] SALIENT BACKGROUND FACTS
[2]The facts of this case are rather convoluted and they revolve around several companies which are not party to this Originating Summons.
[3]The oppressive conduct complained of by the Plaintiff is also related to or are involving other companies apart from the 1st Defendant (“Other ACE Companies”), the relevance of which will be dealt with later in this Judgment.
[4]The Other ACE Companies are as follows:
i) ACE Capital Growth Sdn Bhd (“ACE Capital Growth”);
ii) ACE Global Metal Sdn Bhd (“ACE Global Metal”);
iii) ACE Assay (M) Sdn Bhd (“ACE Assay”); and
iv) ACE Innovate Asia Berhad (formerly ACE Innovate Asia Sdn Bhd) (“AIAB”).
[5]The Other ACE Companies together with the 1st Defendant form the ACE group of companies (collectively referred to as the “ACE Group”).
