Peguamcara Responden / Pemiutang Penghakiman: Tetuan Sidek Teoh Wong & Dennis,
A vesting order under Section 16(3) of the Development Financial Institutions Act 2002 binds all affected parties regardless of notice. Furthermore, a bankruptcy notice is valid if all mandatory documents under Rule 90 of the Insolvency Rules 2017 are provided, even if the permission to execute is omitted.
Headnote:(A) Development Financial Institutions Act 2002 - Section 16(3) - Insolvency Rules 2017 - Rules 17, 90 and 96 - Insolvency Act 1967 - Section 3(1)(i) - Vesting order - Locus standi of successor bank - A vesting order issued under Section 16(3) of the Development Financial Institutions Act 2002 is binding on any person affected by it, notwithstanding that the person was not a party to the proceedings or had no notice of the proceedings (Paras 13-15) - The effect of such an order allows a successor bank to become a party to existing transactions and continue proceedings from where the predecessor left off (Para 16).
(B) Insolvency Rules 2017 - Rule 90 - Validity of Bankruptcy Notice - The requirements under Rule 90(1) specify the mandatory documents to be submitted to the Registrar for the issuance of a bankruptcy notice - The absence of a permission to execute judgment attached to the request for issuance does not render the bankruptcy notice defective or irregular, as such permission is not among the mandatory documents listed under Rule 90 (Paras 26-30).
(C) Acts of Bankruptcy - Section 3(1)(i) Insolvency Act 1967 - Failure to challenge a bankruptcy notice within the statutory period or a reasonable time, coupled with repeated delays in the hearing of a creditor's petition, may lead the court to conclude that a subsequent application to set aside the notice is an afterthought intended to obstruct or delay proceedings (Paras 36-41).
Facts of the case:
A guarantor of a financing facility challenged a bankruptcy notice issued by a judgment creditor. The guarantor contended that the creditor lacked locus standi because no statutory notice regarding a vesting order had been provided and argued that the bankruptcy notice was defective as the permission to execute the judgment (obtained after the standard six-year limit) was not attached to the request for issuance.
Findings of Court:
The court held that the vesting order under the Development Financial Institutions Act 2002 was binding regardless of personal notice. It further determined that the bankruptcy notice was validly issued as it complied with the mandatory documentation requirements of Rule 90 of the Insolvency Rules 2017. The application to set aside the notice was found to be an afterthought filed to delay the proceedings.
Issues: Whether the judgment creditor had the locus standi to proceed based on a vesting order; whether the bankruptcy notice was validly issued under Rule 90 of the Insolvency Rules 2017; and whether the application to set aside the notice was an afterthought.
Ratio Decidendi: A vesting order under Section 16(3) of the Development Financial Institutions Act 2002 is binding on all affected parties by operation of law without requiring individual notification. Procedural validity of a bankruptcy notice is determined by strict adherence to the mandatory documents listed in Rule 90 of the Insolvency Rules 2017; the omission of non-mandatory documents does not invalidate the notice.
Result: Appeal dismissed with costs.
