A binding agreement exists in a restructuring of credit facilities upon acceptance, despite inconsistencies, emphasizing the necessity of offer and acceptance in contract formation.

Headnote:(A) Contracts Act 1950 - Formation of contracts - Banking Facilities Agreement - Restructuring of credit facilities - Legal obligations arising from exchange of offer and acceptance - The court found the letter of offer dated 26.2.1996 constituted a binding agreement upon acceptance by the appellant, despite inconsistencies in repayment terms indicated in subsequent communications. (B) Banking Law - Default in repayment - The obligation on the borrower to repay amounts as per agreed contract, and circumstances under which the lender may classify the account as a Non-Performing Loan are discussed by the court. (Paras 25, 31)

Facts of the case:
The appellant sought to restructure banking facilities totaling RM8.8 million due to financial difficulties arising from misappropriation, bad debts, and rising operational costs in its business. The respondent bank refused to restructure without legal action. (Para 1, 25)

Findings of Court:
The restructuring agreement offered by the bank, upon acceptance by the appellant, is binding, with the existing security arrangements remaining unchanged. (Paras 36, 40)

Issues: The court addressed whether the restructured agreement was valid and binding despite inconsistencies in the repayment terms and whether the bank was justified in classifying the account as non-performing. (Paras 31, 46)

Ratio Decidendi: The court emphasized the formation of contracts requires offer and acceptance; any ambiguity in the terms does not negate the existence of a binding agreement once accepted, supported by considerations and mutual intent. (Paras 55, 62)

Result: Appeal allowed; the restructured agreement between appellant and respondent is affirmed.
