In a significant ruling, the court has granted an interim injunction to a Swedish company and its parent company, restraining a former managing director from alienating or encumbering certain properties. The case stems from an arbitration award issued in Sweden, which dismissed the former director's claims but awarded costs and interest to the petitioners.
The petitioners argued that the former director was attempting to fraudulently dispose of and encumber the properties to defeat the execution of the arbitral award, which granted them over ₹10 crore in costs and interest. The respondent, on the other hand, contended that the proceedings were not maintainable due to the pendency of a separate suit and that the court lacked jurisdiction to grant the requested interim relief.
The court rejected the respondent's arguments, finding that the petitioners were entitled to seek interim relief under Section 9 of the Arbitration and Conciliation Act, 1996, even before the enforcement of the foreign arbitral award. The court held that the award, which was confined to the costs and interest on costs, was valid and enforceable, despite the tribunal's observation regarding its lack of jurisdiction to determine the underlying dispute.
The court emphasized that the proviso to Section 2(2) of the Act allows for the application of Section 9 in international commercial arbitration, even if the place of arbitration is outside India. The court also noted that the respondent had initiated the arbitration proceedings and had resisted the petitioners' request to bifurcate the issue of jurisdiction, leading to the tribunal's finding on the matter.
The court granted the petitioners' request for an interim injunction, restraining the respondent from alienating or encumbering the scheduled properties for a period of six months or until the petitioners file an application for the enforcement of the arbitral award, whichever is earlier. This decision aims to protect the petitioners' interests and ensure the effective enforcement of the foreign arbitral award.
