The case involves Himachal Sorang Power Private Limited (HSPPL), which operates a hydroelectric power project in Himachal Pradesh. The company faced a legal challenge from the Central Transmission Utility India Ltd. (CTUIL) regarding outstanding transmission charges following an accident at its project site. The Central Electricity Regulatory Commission (CERC) had previously ordered HSPPL to pay these charges, leading to HSPPL's appeal.
HSPPL argued that a force majeure event, specifically an accident resulting in the failure of a penstock, prevented it from operating its plant and thus from generating power. They contended that this event exempted them from paying transmission charges as per the terms of their agreements. Conversely, CTUIL maintained that HSPPL was liable for the charges as the long-term access (LTA) had been granted and operationalized, regardless of the accident.
The court examined the circumstances surrounding the accident and the subsequent directives from the Government of Himachal Pradesh, which halted all operations at the project site. It acknowledged that the accident was widely reported and that CTUIL was aware of the situation. The court found that the accident constituted a force majeure event, which legally absolved HSPPL from the obligation to pay transmission charges during the period affected by the incident.
The court ruled in favor of HSPPL, setting aside the CERC's order that mandated payment of transmission charges. It directed that any excess payments made by HSPPL during the force majeure period should be reimbursed along with carrying costs. This decision underscores the importance of recognizing force majeure events in contractual obligations within the energy sector.
