1. The petitioner is a company incorporated and registered under the laws of the United States of America and is said to have its registered office in California, United States of America. It was said to have been incorporated in the year 2001.

2. The petitioner is said to be engaged in the business of manufacture of integrated circuits, components and subsystems used in various applications including wired and wireless communications.

The respondent is a company incorporated under the Companies Act, 1956 (Hereinafter referred to as the ‘Act’ for brevity). It is said to have its registered office at Bangalore.

It is stated that M/s. Bharat Sanchar Nigam Limited, (Hereinafter referred to as the ‘BSNL’ for brevity), a Government of India undertaking, had placed a purchase order, dated 27.1.2006 for the supply of equipment described as FWTs and IFWTs, upon the Indian Telephone Industries (Hereinafter referred to as the ‘ITI’ for brevity), also a Government of India undertaking. ITI, in turn, is said to have placed a purchase order on the respondent for the same goods.
