ORDER

This is a Second Motion Company Petition (hereafter referred to as the “Petition”) filed under Sections 230-232 read with Section 234 and other applicable provisions of the Companies Act, 2013 (hereafter referred to as the “Act”) read with the Companies (Compromises, Arrangements and Amalgamations) Rules, 2016 (hereafter referred to as the “CAA Rules”) read with the National Company Law Tribunal Rules, 2016 hereafter referred to as the “NCLT Rules”) by One World Center Private Limited (hereafter referred to as “Petitioner Company” or “Transferee Company” or “Amalgamated Company”) for sanctioning the modified Scheme of Amalgamation of FIM Holdco I Limited (hereafter referred to as the “Transferor Company 1” or “Amalgamating Company 1”) and Ariston Investments Sub A Limited (hereafter referred to as “Transferor Company 2” or “Amalgamating Company 2”) with the Petitioner Company and their respective Shareholders and Creditors (hereafter referred to as the “Scheme”). The said Scheme has been attached as Annexure A-1 of the Petition.

2. The registered office of the Petitioner Company is situated within the State of Haryana, therefore, this Petition is within the jurisdiction of th
