ORDER
This is a second motion company petition filed by Pine Labs Private Limited (“Petitioner” or “Transferee Company”) seeking orders/ directions under Sections 230 -232 and 234 of the Companies Act, 2013 read with Rule 15 of the Companies (Compromises, Arrangements and Amalgamations) Rules, 2016 and Rule 11 of the National Company Law Tribunal Rules, 2016 , for sanction of the proposed Scheme of Arrangement (“Scheme”) between Pine Labs Limited (“Non-Applicant”/ “Transferor Company”) in Singapore with the Petitioner/ Transferee Company in India and their respective shareholders. The copy of the Scheme between the Petitioner/Transferee Company and Non-Applicant/ Transferor Company is annexed as Annexure P- 1.
