2023 MarsdenLR 1700
HIGH COURT MALAYA KUALA LUMPUR
EMPIRE HOLDINGS LTD – Appellant
Versus
SURUHANJAYA SEKURITI MALAYSIA & ORS – Respondent
[Judicial Review Application No: WA-25-391-06/2022]
A judicial review stay order obtained ex parte is injunctive, and if flawed, may not curtail shareholder rights.
Headnote:This case pertains to a Judicial Review where the 2nd Respondent sought relief from an order restraining them from submitting an application to the Securities Commission. Notably, the Court examined the nature of the Applicant's JR Stay Order as injunctive and expressed concerns over its effect on the rights of the 2nd Respondent as the majority shareholder. Ultimately, the Court ruled that the 2nd Respondent's rights as a shareholder should not be curtailed based on the flawed ex parte order granted to the Applicant. The orders were partially granted in favor of the 2nd Respondent, allowing them to vote at future general meetings.
