Introduction

[1] This is an appeal against the decision of the Sessions Court which had after a full trial, allowed the claim by the plaintiff (the respondent herein) for the professional fees of property agent against the appellant. At the end of the appeal hearing which was conducted via Zoom video technology, I allowed the appeal and highlighted the main grounds for my decision. This judgment contains the full reasons for the same.

Key Background Facts

[2] The respondent, a registered property agent firm, in a letter dated 25 October 2010 addressed to the appellant ("Offer Letter") offered its services to identify and introduce potential and suitable buyers for the appellant's five storey commercial building then known as "UniRazak Campus" (now "Wisma Lincoln") in Kelana Jaya, Selangor Darul Ehsan ("the Property") on terms and subject to conditions stated therein.

[3] In response, the appellant procured the delivery of information and documents concerning the Property to the respondent. In a subsequent letter from the respondent to the appellant dated 16 December 2011 ("the Second Letter") the respondent, among others, introduced Lincoln University
