IC RegFin Legal Merges with Burgeon Law, Creating 150-Strong Firm with End-to-End Capital Lifecycle Offering

In a significant consolidation within India's legal market, financial services-focused law firm IC RegFin Legal has merged with New Delhi-based transactional powerhouse Burgeon Law. The strategic combination creates a pan-India entity of over 150 lawyers, including 22 partners, poised to offer clients a comprehensive "capital lifecycle" service, from fund formation to high-stakes exits.

The merger sees Burgeon Law's entire team of more than 25 lawyers and five partners integrate into IC RegFin Legal. As a result, IC RegFin establishes a formidable presence in the national capital, with New Delhi becoming its fourth office, complementing its existing locations in Mumbai, Bengaluru, and GIFT City, Gandhinagar.

This move marks a major step in IC RegFin's ambitious growth trajectory, with the firm publicly aiming to expand to a 175-member team by the end of the 2025-26 financial year. The merger was facilitated by legal management consultancy Legal League Consulting.

Strategic Rationale: Combining Regulatory Acumen with Transactional Prowess

At the heart of this merger is the synergistic combination of two distinct but complementary legal powerhouses. IC RegFin Legal has carved a niche for itself with its deep expertise in the financial services regulatory landscape. Its core practice areas include fund structuring (covering Alternative Investment Funds, mutual funds, and Foreign Portfolio Investments), capital markets regulatory advisory, and navigating the complex legal regime of the International Financial Services Centre (IFSC) at GIFT City.

Conversely, Burgeon Law, founded by Roma Priya, has evolved from a boutique firm championing startups to a leading name in the venture capital (VC) and private equity (PE) transactional space. The firm is well-regarded for advising marquee domestic and international funds, family offices, and high-growth companies on investments, M&A, and exits.

The merger aims to bridge the gap between these two worlds, creating a single, unified platform. Tejesh Chitlangi, who continues as the Managing Partner of the merged entity, emphasized this strategic fit.

“This merger supercharges our growth plans," Chitlangi stated. "Burgeon's VC-PE transactions practice fits supremely well with RegFin's focus on the entire financial services and investments space, giving clients a unified and seamless team with a true capital lifecycle offering – from fund formation and structuring to investments, regular corporate legal advisory and exits.”

This integration allows the firm to service clients—from fund managers to portfolio companies—across every stage of their business journey, a significant value proposition in an increasingly complex investment environment.

New Leadership and Expanded Capabilities

The merger also brings significant changes to the firm's leadership structure. Roma Priya joins IC RegFin Legal as an Equity Partner, assuming the dual roles of Senior Partner and National Head of Private Equity & Venture Capital Transactions. Her appointment is expected to institutionalize and scale the firm's transactional practice, leveraging her reputation and experience in the VC/PE ecosystem.

Chitlangi highlighted the importance of her leadership in the firm's expansion strategy. “With a seasoned, accomplished leader like Roma, we know we have got a specialist team that allows us to scale faster in high-growth sectors, while deepening our bench strength for complex, layered and multi-stakeholder transactions,” he remarked.

For Roma Priya, the merger represents a strategic evolution after a decade of building Burgeon Law. She expressed alignment with IC RegFin's vision for a "future-ready firm."

“Building Burgeon has been a journey of immense hard work, purpose, and joy - and stepping into this next phase with RegFin is both exciting and energising," Priya commented. "I am fully aligned with RegFin and Tejesh, who is an inspiring and well-acclaimed industry leader, on their strong vision to build a future-ready firm that combines institutional strength with founder-style agility."

She added, "We're merging Burgeon and coming together as a part of RegFin to deliver broader capabilities and deeper expertise, focus on being people-centric and continue to provide exceptional client services.”

Analysis: A Reflection of Market Trends and Client Demands

This merger is indicative of several key trends shaping the Indian legal industry.

1. The Rise of Full-Service Specialization: Clients, particularly in the sophisticated finance and investment sectors, increasingly demand holistic legal support. They require lawyers who not only excel at executing transactions but also possess a nuanced understanding of the ever-evolving regulatory frameworks governed by bodies like SEBI. By combining a top-tier regulatory practice with a leading transactional team, the merged IC RegFin is directly addressing this demand for integrated, specialist advice.

2. Consolidation for Scale and Reach: The Indian legal market remains fragmented. This merger signals a move towards consolidation, where firms combine to achieve greater scale, deeper bench strength, and a wider geographical footprint. The immediate addition of a 150+ member team and a Delhi office provides IC RegFin with the critical mass needed to compete for larger, more complex mandates against established Tier-1 firms.

3. The "Capital Lifecycle" as a Differentiator: The concept of a "capital lifecycle" offering is a powerful marketing and service delivery tool. It suggests that the firm can act as a long-term strategic partner rather than a transactional advisor for a single deal. This is particularly appealing to investment funds, which require legal support from their initial formation and fundraising to deploying capital in portfolio companies and eventually engineering successful exits.

4. Strategic Talent Acquisition: The merger is as much about acquiring talent and leadership as it is about combining practice areas. Bringing Roma Priya and her team of five partners into the fold is a strategic acquisition of proven expertise and established client relationships in the lucrative PE/VC space. This is often a faster and more effective way to build a top-tier practice than through gradual organic growth.

For legal professionals, this development underscores the growing premium placed on hybrid expertise—the ability to navigate both the transactional and regulatory aspects of corporate finance. For competing law firms, it sets a new benchmark for service integration and signals that the competitive landscape for high-value financial and corporate work is intensifying. The newly fortified IC RegFin Legal has positioned itself not just as a larger firm, but as a more strategically complete one, ready to meet the sophisticated demands of India's dynamic investment ecosystem.
