NCLT Initiates Insolvency Resolution Process Against Personal Guarantor in Corporate Debt Case

Background

The National Company Law Tribunal (NCLT) has initiated an insolvency resolution process against Mr. Chandrashekhar Balkrishna Panchal , the personal guarantor of the corporate debtor, M/s. Archon Engicon Limited. The case was filed by the financial creditor, Intec Capital Limited, seeking to recover a default amount of Rs. 6.73 crores.

Arguments

Intec Capital Limited, the financial creditor, argued that Mr. Panchal had executed a deed of guarantee dated March 15, 2013, in favor of the creditor, making him liable for the repayment of the corporate debtor's loan. The creditor had previously filed an arbitration case against the corporate debtor and the personal guarantor, which was allowed in March 2016.

The personal guarantor, Mr. Panchal , was given multiple opportunities to file a reply to the application, but he failed to do so. The State Bank of India, another financial creditor, also filed an application to be added as a supporting party to the main case.

Court's Analysis and Reasoning

The NCLT noted that the Supreme Court had upheld the constitutional validity of the provisions related to the insolvency resolution process for personal guarantors to corporate debtors. The tribunal also observed that under Section 128 of the Indian Contract Act, 1872, the personal guarantor and the principal borrower are jointly and severally liable to the creditor.

The NCLT further noted that the Interim Resolution Professional (IRP) had recommended the admission of the application, as the personal guarantor had not provided any evidence of having paid the outstanding amount demanded by the creditor.

Decision

The NCLT has admitted the application filed by Intec Capital Limited and initiated the insolvency resolution process against the personal guarantor, Mr. Chandrashekhar Balkrishna Panchal . The tribunal has appointed Ms. Vineeta Maheshwari as the IRP to carry out the insolvency resolution process and submit a report within the prescribed timeline.

The NCLT has also declared a moratorium on all the debts of the personal guarantor, effective from the date of admission of the application. The resolution professional has been directed to publish a public notice inviting claims from all creditors and prepare a list of creditors accordingly.

The case highlights the increasing importance of personal guarantors in the insolvency and bankruptcy framework, as the courts seek to hold them accountable for the debts of the corporate debtors they have guaranteed.
