New Delhi – The National Company Law Tribunal (NCLT) has ordered the dissolution of Jawaria Enterprises Private Limited, marking the final step in the company's liquidation proceedings under the Insolvency and Bankruptcy Code (IBC), 2016. The order was passed in an application filed by the company's liquidator, Mr. Nitin Om Kothari.
The application, numbered IA(IBC)(Dis.) - 8/2024, was presented before the NCLT by the liquidator of Jawaria Enterprises. The company had previously been admitted into the Corporate Insolvency Resolution Process (CIRP), which later transitioned into liquidation after a resolution plan could not be finalized. Mr. Kothari was appointed to oversee the liquidation process, which involves selling the company's assets to pay off its debts.
Mr. Nitin Om Kothari, in his application, informed the Tribunal that the liquidation process had been completed in accordance with the provisions of the IBC. He submitted the Final Report, detailing the sale of assets, distribution of proceeds to the stakeholders as per the waterfall mechanism prescribed under Section 53 of the IBC, and the final closure of the liquidation account. The liquidator argued that since the affairs of the corporate debtor were fully wound up and its assets realized, the company was now ready for dissolution.
After reviewing the Final Report and hearing the submissions from the liquidator, the NCLT bench was satisfied that the liquidation process was conducted in a fair and transparent manner. The Tribunal noted that the liquidator had fulfilled all statutory duties and that no assets remained to be liquidated or distributed.
In its order, the NCLT stated, "The liquidator has complied with the statutory requirements under the Insolvency and Bankruptcy Code, 2016. The assets of the corporate debtor have been liquidated, and the proceeds have been distributed. As the affairs of the company have been completely wound up, it is just and equitable to order its dissolution."
The court invoked its powers under Section 54 of the IBC, which provides for the dissolution of a corporate debtor following the completion of liquidation.
With this order, Jawaria Enterprises Private Limited officially ceases to exist as a legal entity. A copy of the order will be forwarded to the Registrar of Companies (RoC), where the company was registered, to have its name struck from the register of companies. This decision brings a formal end to the corporate existence of Jawaria Enterprises and provides a final closure for all its stakeholders.
