Court Upholds Cancellation of Power of Attorney in Corporate Insolvency Case

Background

In a significant ruling on October 29, 2024, the National Company Law Appellate Tribunal (NCLAT) dismissed two appeals filed by Dharmesh Jain , a suspended director of Nirmal Lifestyle Realty Private Limited. The appeals challenged the decisions of the Mumbai Bench of the National Company Law Tribunal (NCLT) regarding the cancellation of a General Power of Attorney (PoA) and the approval of a Resolution Plan under the Insolvency and Bankruptcy Code (IBC).

The case arose from a Corporate Insolvency Resolution Process (CIRP) initiated against Nirmal Lifestyle Realty, which had entered into a development agreement with Ralliwolf Limited for a property in Mumbai. The disputes centered around the rights conferred by the PoA and the implications of the Resolution Plan approved by the Committee of Creditors (CoC).

Arguments

Jain 's counsel argued that the PoA executed in favor of him and his wife could not be cancelled by the Resolution Plan, asserting that such cancellation was beyond the jurisdiction of the NCLT. They contended that the development rights had not been fully divested from Ralliwolf and that the PoA was essential for the corporate debtor's operations.

Conversely, the respondents, including the Resolution Professional and the Successful Resolution Applicant (SRA), argued that the PoA was merely a facilitative tool for the corporate debtor and that its cancellation was necessary for the effective implementation of the Resolution Plan. They maintained that Jain 's attempts to challenge the cancellation were obstructive and lacked merit.

Court's Analysis and Reasoning

The NCLAT analyzed the legal framework surrounding the IBC and the powers of the NCLT. It emphasized that the PoA was granted solely to facilitate development activities and did not confer any independent rights to Jain . The court noted that once the CIRP commenced, the corporate debtor was represented by the Resolution Professional, and the PoA had effectively served its purpose.

The court further referenced the Supreme Court's ruling in Gujarat Urja Vikas Nigam Ltd. vs. Amit Gupta , affirming that the NCLT has jurisdiction to address matters related to the cancellation of instruments like the PoA in the context of insolvency proceedings. The NCLAT concluded that the approval of the Resolution Plan, including the cancellation of the PoA, was within the NCLT's jurisdiction and aligned with the objectives of the IBC.

Decision

The NCLAT dismissed both appeals, affirming the NCLT's decisions to reject Jain 's application to prevent the cancellation of the PoA and to approve the Resolution Plan. The court imposed costs on Jain , labeling his application as vexatious and a hindrance to the revival of the corporate debtor.

This ruling underscores the authority of the NCLT in insolvency matters and clarifies the limits of rights conferred by powers of attorney in the context of corporate restructuring.
